Note: The job is a remote job and is open to candidates in USA. onPhase is a leading provider of financial automation and payment solutions, seeking a detail-oriented and business-minded Corporate Counsel to join their team. The role focuses on commercial contracting, supporting customer and vendor agreements while managing legal risk.
Responsibilities
- Draft, review, and negotiate a high volume of customer-facing and revenue-generating agreements, including SaaS agreements, Services Agreements, Statements of Work, order forms, and Non-Disclosure Agreements, as well as vendor contracts
- Independently manage the full contract lifecycle, including redlining, negotiation, and execution of agreements
- Partner closely with Sales and Revenue Operations teams to support deal structuring, contract negotiations, and timely deal closure
- Provide clear, practical guidance on contract terms, including liability, indemnification, payment terms, and service levels, balancing risk with business objectives
- Lead contract negotiations with customers, vendors, and partners, driving agreements to resolution in a timely manner
- Support efforts to improve contract turnaround time and streamline contracting workflows to accelerate the sales cycle
- Identify and assess legal and business risks in agreements and recommend appropriate solutions
- Assist with compliance-related matters, including data privacy and security considerations
- Maintain organized documentation and support contract and legal record management
- Provide training and guidance to internal stakeholders on contracting best practices
- Support the management of outside counsel as needed for specialized legal matters
- Assist with additional legal and business initiatives as the company continues to grow
Skills
- Juris Doctor (JD) from an accredited law school
- Active bar membership in good standing
- 2–4 years of experience in commercial contracting (law firm or in-house)
- Demonstrated ability to independently draft, review, and negotiate commercial agreements
- Experience handling a high volume of contracts in a fast-paced environment
- Strong attention to detail with the ability to manage multiple priorities and deadlines
- Strong communication and interpersonal skills, with the ability to explain legal concepts clearly to non-legal stakeholders
- Ability to balance legal risk with business objectives in a practical and solutions-oriented manner
- Experience in a SaaS, fintech, or technology company
- Familiarity with subscription-based business models
- Exposure to data privacy and security requirements
- Experience working with contract lifecycle management (CLM) tools
